DESCRIPTION OF SWEEPSTAKES: The Sylvan Learning™ CEO Pledge Sweepstakes (the “Sweepstakes”) is a sweepstakes in which an individual (each, an “Entrant;” collectively, “Entrants”) takes a pledge to be the Chief Education Officer (“CEO”) for his/her child and nominates the Parent-Teacher Association (“PTA”) at the school at which his/her child is currently enrolled (i.e., any state-accredited elementary (grades K-6) and junior high school (grades 7 and 8), excluding home school and online schooling programs; each, a “School”) to win a cash prize.

SPONSOR: Sylvan Learning, 1001 Fleet Street, 9^th Floor, Baltimore, MD 21202. This Sweepstakes is sponsored by Sponsor and is in no way sponsored, endorsed or administered by, or associated with, Facebook. Any questions, comments or complaints regarding the Sweepstakes must be directed to Sponsor and not to Facebook.

ELIGIBILITY: ENTRANTS MUST BE LEGAL RESIDENTS OF ONE OF THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA, AND AT LEAST 18 YEARS OLD AT TIME OF ENTRY. SWEEPSTAKES VOID OUTSIDE THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA AND WHERE OTHERWISE PROHIBITED BY LAW. Entrants must also be the parent or legal guardian of a currently-enrolled student and have the ability to provide the contact information for a member of the nominated PTA. Employees of Sponsor, HPR Partners, LLC, and its and their parent companies, affiliates, subsidiaries, directors, officers, employees, agents, vendors, advertising and promotion and/or fulfillment agencies, and the family members of each, are not eligible to enter. For purposes of these Official Rules, "family member" means a spouse, parent, sibling, child, respective spouses and all lineal descendants of any of the foregoing, including those by adoption, as well as individuals living in the same household of such employee, whether related or not. The Sweepstakes is subject to all applicable federal, state and local laws and regulations.

PTA ELIGIBILTY: To be eligible for the cash prizes, a PTA must be an active local unit in good standing with their state PTA and National PTA, and have met the Standards of Affiliation. Sponsor will verify eligibility of winning PTAs and will disqualify those PTAs that fail to meet eligibility requirements. Disqualified PTAs will be ineligible for the cash prizes. Non-PTA-affiliated parent teacher organizations (PTOs) are ineligible for the cash prizes.

PTA DISCLOSURE: This promotion is in no way sponsored or administered by National PTA or any state PTA affiliate. Any questions, comments or complaints regarding the promotion will be directed to Sponsor, not the PTA.

HOW TO ENTER: The Sweepstakes begins at 12:00:00 AM Eastern Time ("ET") on September 16, 2014 and ends at 11:59:59 PM ET on October 24, 2014 (hereinafter, "Sweepstakes Entry Period"). To enter, Go to Facebook.com/SylvanLearning (the “Facebook Site”), click on the “Like” button to become a “Fan” of Sylvan Learning and follow the directions to take the CEO pledge, including, without limitation, by completing and submitting the Official Entry Form with your full name, mailing address (including zip code), valid email address, name and address of the School with which the nominated PTA is affiliated and a valid email address for a PTA member (each, an “Entry;” collectively, the “Entries”). All Entries must be received and recorded by Sponsor’s computer during the Sweepstakes Entry Period. Sponsor’s computer is the official time-keeping device of the Sweepstakes. Limit one (1) Entry per person, per day, regardless of the number of email addresses or accounts a person may have. For purposes of these Official Rules, a day is defined as beginning at 12:00:00 AM ET and ending at 11:59:59 PM ET. Duplicate Entries or multiple Entries will be disqualified. Sponsor is not responsible for lost, late, incomplete, stolen, misdirected Entries, Entries that are processed late or incorrectly, Entries that are lost due to computer or electronic malfunction or other error, or Entries not received for any reason. Entries using macro, robotic, script or other forms of automatic entry are not eligible and will be disqualified. Entries become the property of Sponsor and will not be acknowledged or returned. No mechanically reproduced Entries are permitted. By submitting an Entry, an entrant agrees to abide by these Official Rules and acknowledges that information submitted as part of the Entry is subject to Sponsor’s Privacy Policy available at www.sylvanlearning.com/privacy-policy, and to the Facebook Terms and Conditions and Statement of Rights and Responsibilities.

WINNERS/PRIZES/WINNER NOTIFICATION: The five (5) nominated PTAs with the most CEO pledges will be selected as the Grand Prize Winners from among all eligible Entries received. Odds of winning depend upon the number of eligible Entries received. Limit one (1) prize per PTA.

Each Grand Prize consists of a cashier’s check made payable to the winning PTA in the amount of one thousand dollars ($1,000) (total approximate retail value of all prizes: $5,000 USD). Cashier checks may be subject to additional terms and conditions.

Each winner will be notified by e-mail using the information provided in the applicable Entry. If a potential winner does not respond to the e-mail within two (2) business days after notification, or if the e-mail notification is returned as undeliverable, such winner may be disqualified and an alternate winner selected from all remaining eligible Entries received. A potential winner may also be required to sign and return, within two (2) business days from delivery, a 1099 form, an affidavit of eligibility, publicity release (except where prohibited by law) and/or liability waiver (“Prize Claim Documents”). If the Prize Claim Documents are not returned to Sponsor within the specified time period, or a potential winner cannot be contacted for any reason, or if a potential winner declines the prize for any reason prior to award, or a potential winner is otherwise found to be ineligible, in Sponsor’s sole discretion, such potential winner may be disqualified and an alternate winner selected from all remaining eligible Entries received. Unclaimed prizes will not be awarded. Sponsor reserves the right, in its sole discretion, to substitute a prize or prizes of equal or greater value for any and all prizes. No other substitutions or transfer of prizes allowed unless specifically authorized by Sponsor. Sponsor reserves the right not to award all prizes in the event an insufficient number of eligible Entries are received. In the event that no eligible Entries are received, no prizes will be awarded.

Sponsor is not responsible for lost or stolen prizes. Each winner will be solely responsible for any and all federal, state, and local taxes on prizes, as well as any and all expenses that may be associated with the acceptance and use of any prize. Sponsor has neither made nor is responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, or fitness for a particular use.

GENERAL CONDITIONS. By submitting an Entry, each Entrant agrees, on behalf of himself/herself, the nominated PTA and his/her/its executors, heirs and assigns (1) to be bound and abide by these Official Rules and all decisions of Sponsor, whose decisions are final, binding and not open to appeal; (2) to release and hold Sponsor, HPR Partners, LLC, Facebook and its and their respective directors, officers, employees, subsidiaries, affiliates, agents, divisions, agencies, licensors and advertising, or promotional agencies and all suppliers (each, a “Released Party;” collectively, the “Released Parties”), harmless from any and all liability whatsoever in connection with the Sweepstakes, including without limitation, causes of action, injury, damage, liabilities, suits, cross-claims or counterclaims, or any other claims arising out of or relating to participation in the Sweepstakes (including without limitation personal injuries and death and damage to, loss, or destruction of property), whether or not arising from the negligence of a Released Party, including but not limited to, third party claims that may be made against Entrant and claims arising out of or relating to the acceptance, receipt, possession or use/misuse of any prize monies, or claims based on any publicity or other public exposure of Entrant, including without limitation, claims concerning infringement or invasion of Entrant’s privacy or publicity rights, or defamation, or acts undertaken in preparation for or participation in the Sweepstakes, whether suffered by Entrant or a third party, and claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons or property which may be sustained in connection with the receipt, ownership or use of the prize money or while preparing for, participating in or traveling to and/or from any Sweepstakes-related activity or otherwise; (3) to assume all risks, express or implied, associated with all claims released above, including without limitation, all risks concerning entry and participation in the Sweepstakes; (4) that she/he has no right to bring, and covenants not to bring, any claim, action, or proceeding of any kind or nature whatsoever against any of the Released Parties in connection with the Sweepstakes; and (5) THAT NONE OF THE RELEASED PARTIES HAS MADE, OR IS RESPONSIBLE OR LIABLE FOR, ANY WARRANTY, EXPRESSED OR IMPLIED, RELATIVE TO ANY PRIZE, INCLUDING, BUT NOT LIMITED TO, ITS QUALITY OR FITNESS OR MERCHANTABILITY, AND ALL PRIZES ARE TENDERED ON AN “AS IS” BASIS.

Sponsor reserves the right, in its sole discretion, to suspend, modify or cancel the Sweepstakes, or any portion thereof, if it cannot be run as originally planned, including but not limited to, by reason of tampering, infection by computer virus, unauthorized intervention or fraud; malicious software attacks, bugs or other problems; or force majeure or other causes beyond the control of Sponsor which impair the integrity or corrupts the administration or security of the Sweepstakes. In such event, the Sweepstakes shall be conducted from among all eligible Entries received (if any) prior to such suspension, modification or cancellation. Sponsor further reserves the right to take whatever action it deems necessary or appropriate in connection with the administration of the Sweepstakes.

Sponsor is not responsible for any printing, typographical, mechanical or other error in the printing of the Official Rules, administration of the Sweepstakes or in the announcement of the prizes.

If the Sweepstakes is cancelled for any of the reasons set out above, neither Sponsor, HPR Partners, LLC, Facebook, nor any of the parties contributing to the Sweepstakes will be required to reschedule it and/or compensate any Entrant for lost time, wages, fees, travel expenses or costs of any kind spent in preparing an Entry. Proof of submitting an Entry will not be deemed to be proof of receipt by Sponsor. Sponsor further reserves the right to disqualify any individual who tampers with the entry process and may prohibit an Entrant from participating in the Sweepstakes if it determines that said Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception or other unfair practices or intending to abuse, threaten or harass other Entrants.

Sponsor, HPR Partners, LLC, and Facebook assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, applications. Sponsor, HPR Partners, LLC and Facebook are not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or Entry to be received by Sponsor due to technical problems, human error or traffic congestion on the internet or at any website, or any combination thereof, including any injury or damage to Entrant’s or any other person’s computer relating to or resulting from participating in the Sweepstakes or downloading any materials in the Sweepstakes.

If there is a dispute as to the identity of an Entrant, an Entrant will be deemed to be the authorized account holder of the e-mail address listed on the Entry. The “authorized account holder” is defined as the natural person to whom the e-mail address is assigned by an internet service provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Failure to comply with the Official Rules will result in disqualification. An Entrant and/or finalist will be disqualified, at the sole discretion of Sponsor and/or, if he/she attempts (a) to enter the Sweepstakes through any means other than described in these Official Rules; or (b) to disrupt the Sweepstakes, circumvent the terms and conditions set forth in the Official Rules, or in any way tamper with any component of the Sweepstakes. Without limiting anything set out elsewhere in these Official Rules, submission of an Entry further constitutes Entrant’s consent to irrevocably assign and transfer to Sponsor any and all rights, title and interest in and to the Entry, including, without limitation, all copyrights and any extensions or renewals thereof, and upon Sponsor’s request, Entrant will execute any documents necessary to effectuate such ownership. Entrant agrees not to defame or disparage Sponsor, its parents and affiliate companies, or HPR Partners, LLC.

CAUTION: ANY ATTEMPT TO DAMAGE ANY WEBSITE, UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES, AND/OR ABSCOND WITH OR MISUSE PRIZE MONIES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes materials (e.g., marketing, advertising or other ancillary documents) and these Official Rules, the Official Rules shall prevail, govern and control.

Except where prohibited by applicable law, participation in the Sweepstakes and/or acceptance of a prize constitutes each Entrant’s and each winner’s consent to Sponsor’s and its agents’ use of such Entrant’s and winner’s name, likeness, photograph and voice for advertising, promotional and other purposes in any and all media, now or hereafter devised, in any manner, worldwide in perpetuity, without further payment or consideration, notification or permission.

DISPUTES / CHOICE OF LAW

Except where prohibited, each Entrant agrees: (1) that any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in the Borough of Manhattan, City and State of New York; (2) that any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and in no event shall include attorneys’ fees associated with participation in the Sweepstakes; (3) that no punitive, incidental, special, consequential or other damages, including without limitation, lost profits may be awarded (collectively, “Special Damages”); and (4) to waive all rights to claim Special Damages and all rights to have such damages multiplied or increased. New York law exclusively governs these Official Rules, the Sweepstakes and all aspects related thereto or arising there from.

WINNERS LIST

The names of the Grand Prize winners will be posted on the Facebook Site from date of final acceptance to December 31, 2014.
